CMS Hasche Sigle advises on merger of Hansa-Milch and Arla

Cologne – Major German dairy company Hansa-Milch and Scandinavia-based Arla Foods Group have agreed a cross-border merger. The complex structure of the transaction sees cooperatives from different jurisdictions merging for the first time.

A team of experts led by Klaus Jäger and Dr Malte Bruhns advised Hansa-Milch on all aspects of preparing for and implementing the transaction. The merger, which is expected to become effective from 1 January 2011, is currently awaiting approval from the cartel authorities and the consent of the relevant members' meetings.

Hansa-Milch is primarily known for its Hansano dairy products. Arla products found on the shelves of European supermarkets include brands such as Lurpak butter, Arla cave cheese, Castello and Buko fresh cheese. Hansa-Milch generated sales of some EUR 300 million in 2009. The North German company employs a total of more than 400 people.

Arla Foods, headquartered in the Danish town of Viby, near Aarhus, is the world's fourth largest dairy cooperative. The company has production facilities in 13 countries and approximately 16,200 employees. In 2009, Arla Foods posted sales of EUR 6.2 billion.
